Any notice required or permitted to be given under this Agreement shall be delivered (i) by hand, (ii) by registered or certified mail, postage prepaid, return receipt requested, to the address provided by the other party, or to such other address as a party may designate by written notice in accordance with this Section 13, (iii) by overnight courier, or (iv) by electronic mail with confirming letter mailed under the conditions described in (ii). Notice so given shall be deemed effective when received, or if not received by reason of fault of addressee, when delivered. The following are terms of a legal agreement between you and SullSoft Technologies™. SullSoft Technologies_™ Membership Agreement

All terms set forth in this agreement are superseded by the the corresponding terms set forth in the SullSoft Technologies Terms Of Use and Online Privacy Policy.

1. I represent that I have read and agree to all of the terms of this Membership Agreement. I certify that I am over eighteen (18) years old and am using a valid credit card that I am authorized to use.

2. I represent that, based on my familiarity with the standards and laws of my community, by requesting and receiving any of the material on SullSoft Technologies, I will not be violating any of these standards and/or laws. I understand that by accepting the terms of this Agreement, I will hold SullSoft Technologies harmless from any responsibilities related to my requesting, receiving or possessing materials contained on its site.

3. I will be billed a membership fee (if applicable) in accordance with the designated schedule to gain access to this site for usage of all services. I understand my credit card will be billed each month (Opt-In) for the current membership fee until I request cancellation of my membership. All sales are final.

4. I agree that SullSoft Technologies has the right to change all pricing, content and house of service at any time, and to terminate service to any person without cause or prior notice.

I agree not to use SullSoft Technologies to send, or submit for public posting any abusive, obscene, threatening, libelous, slanderous or illegal matter or material, or matter or material containing blatant expressions of bigotry, racism or hate. I further agree not to send, or submit for public posting any copyrighted matter or material, without the specific authority of the copyright owner. By submitting any matter or material to a public posting area of SullSoft Technologies, I irrevocably grant SullSoft Technologies permission to treat the matter or material as if it were in the public domain, including modifying it or using it commercially and authorizing others to do so. I agree to indemnify and hold SullSoft Technologies free and harmless from any and all claims, suits, damages, costs and expenses (including attorneys' fees) arising out of or in any manner related to any matter or material sent by me or submitted by me for public posting on SullSoft Technologies.

6. I understand and agree that no warranty is made by SullSoft Technologies regarding the SullSoft Technologies service, and SullSoft Technologies hereby expressly disclaims: (1) any and all warranties as to the availability, accuracy or content of information, products or services available through the SullSoft Technologies service; and (2) any warranties of merchantability or fitness for a particular purpose. I further understand and agree that any liability of SullSoft Technologies, its officers, directors, employees, agents or independent contractors, including without limitation any liability for damages caused or allegedly caused by any failure of performance, error, omission, interruption, deletion, defect, delay in destruction, alteration, or use of (or unauthorized access to) records, whether for breach of contract, breach of warranty, negligence or other tortious behavior, shall be strictly limited to the amount paid to SullSoft Technologies by or on behalf of the claimant for SullSoft Technologies service membership fees for the month in which the claimed injury or damage occurred.

7. Members are responsible for providing all personal computer and communications equipment necessary to gain access to the Service. Access to and use of the Service is through a combination of a Member's ID and a password. Each Member must keep his password strictly confidential. Remember your password! For security reasons, SullSoft Technologies will not release passwords for any reason. Unauthorized access to the Service is a breach of this Agreement and a violation of law.

8. Membership may not be assigned or transferred to any other person or entity. Member must promptly inform SullSoft Technologies of the following: changes in the expiration date of any credit card used in connection with the Service; changes in home or billing address; and apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until SullSoft Technologies is notified by clicking on the appropriate customer service designation of a breach in security, the Member will remain liable for any unauthorized use of the Service. Upon request, Members will be given access to billing records that support charges for use of the Service.

9. Except for public domain material and electronic messages, all material displayed on the Service is copyrighted by SullSoft Technologies and may not be copied, redistributed or downloaded, in whole or in part, without the prior written consent of SullSoft Technologies, unless otherwise clearly stated in this Agreement.

10. "SullSoft Technologies" is a trademark of SullSoft Technologies. "Help Me Sully!", is a servicemark of SullSoft Technologies

11. The material on the Service is for the private use of Members only. Any other use is prohibited.

12. This Agreement contains the entire agreement between the Member and SullSoft Technologies regarding the use of the Service, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by SullSoft Technologies to Members. Unless otherwise explicitly stated, the provisions of this Agreement shall survive its terminations. The Agreement shall be governed by the laws of the State of Florida.
